Kettle Moraine Angels

BY-LAWS

General Meeting Protocol

    The Kettle Moraine Angels meet the 3rd Thursday of the Month unless specified for special events.

    Guests are welcome to join the membership meetings two meetings without joining.  On the third meeting guests would be expected to join our organization.

    Members and guests are expected to sign in when they attend the general membership meeting.

    Once a year, in June there will be an annual meeting.  Annual dues of $25 will be collected at this meeting. And the election of officers if needed 

    General meetings will begin at 6:00pm with social time until 6:45pm.  We plan to eat around 7:00pm.

    Facilities with a quiet area or private room when possible are to be chosen for meetings.  We do not pay for meeting space.

    Minutes and pertinent information will be provided by social media, KMA Facebook page, Email and KMA Website prior to meetings.  Members are expected to read the minutes, so questions can be brought forth on the previous months’ minutes at the current meeting to keep it brief.

    The president will keep order at the meetings.  The president will present the subject for discussion and not allow other unsolicited topics to be presented during this time. Requests for adding General Meeting Agenda items should be submitted in the previous weeks before the meeting to the president.

 

Officers/Board Members

    Members of the board will uphold three main duties, Care, Loyalty, Obedience.

o   Duty of CARE refers to the responsibility to act as a prudent board member.  To pay attention to what’s going on and to make decisions based on information available with responsible investigation.

o   Duty of LOYALTY means that a board member must put the organizations welfare above other interests when making decisions.

o   Duty of OBEDIENCE requires that board members act in accordance with the KMA Mission Statement, Goals, and By-Laws.

    Board members shall be active in fundraising, organizing the budget and staying informed of the financial situation.

    Board members shall believe in the mission of KMA, be a strong advocate on behalf of the programs and serve the organization as a careful and honest board member.

    Election of Officers will be made every two years.  Candidates can be nominated at a general meeting prior to election periods. The KMA website KMAngels.org, will have KMA By-Laws, and job descriptions posted for general information on each board members role.

    Officers: President, Vice-President, Treasurer, Secretary, will be elected in an interval of every two years so only two or more board members are elected at one time, to assure continuity on the Board. 

    President, Treasurer, and Media/Technology Director will be up for election in the odd years.

    Vice-President, Secretary, Special Events and Fund Raising Directors will be up for election in even years.

    If an officer vacates an office between terms, the president will appoint someone to fill that position until the next election.

    Officers/board members will review the treasurer report and checking account balances at each monthly board meeting.

    The board of directors meet monthly between membership meetings. 

 

Duties of Officers

President

    Preside over Board and General meetings, which includes an agenda.

    In charge of appointing committees and chairpersons.

o   Follow up to make sure projects are proceeding as planned.

    Guide the organization and acts as spokesperson for the organization.

    Compose an annual report to be presented at the annual meeting, in July.

    Signs contracts and checks in tandem with Treasurer.

    Manages non-profit records

o   Articles of Incorporation

o   By-Laws

o   Files any State Required paperwork.

Vice President

    Help the president with various tasks

    Fill in for the president as needed

    Serves as a committee chairperson as appointed by the president.

    If President vacates role, vice-president assumes that role until next officer elections.

Secretary

    Keeps accurate minutes of board and general meetings

    Gives notice of meetings

    Provides agendas for all meetings

Treasurer

    Responsible for keeping track of non-profit funds using acceptable accounting practices, preferably electronically capable for dispatchment of accounting information to the board and membership.

    Writes and signs checks in tandem with President along with board meeting monthly review of checks written and bills received.

    Gives a full financial review at the General Annual meeting to all membership attending.

    In tandem with President manages non-profit records, (KMA Articles of Incorporation, By Laws), State required paperwork.

    Aids Fund Raising Director in completing proposals for larger events (other than meat raffles).  This will include a Proforma Income Statement, including expected revenues, expenses and expected profits.

 

Committee/Directors

    Activities and Special Events

o   Attend Monthly Board Meeting

o   Organize monthly social meetings

o   Get head count – Make Restaurant/Meeting Place Reservations

o   Post Menu and/or take orders from members.

o   Coordinate Pot Lucks

o   Communicate meeting place, time, location on KMA Public and Private Facebook page.

o   Collect Meal Money from members when necessary.

o   Submit food orders to restaurant, if needed.

o   Create and organize events outside of meetings, assign committee members.

o   Review ideas made by members and help them organize. 

    Fund Raising

o   Attend monthly board meeting.

o   Create and organize fund raisers

o   Assign committee members to assist.

o   Coordinate with Media and Technology director for advertising if needed.

o   Send out KMA Thank You Cards out to hosts, and donors after event.

    Research People in Crisis or in Need

  All Board members and Angels bring forth to board and general meeting group via donation request form found on KMAngels.org website,

or hand written donation request form.

    Media & Technology

o   Maintain KMAngels.org website. (Go Daddy Account)

o   Knowledge of Squarespace Web Creation software program.

o   Maintain contacts in Newspaper, Radio and other social media for advertising for KMA.

o   Communicate on Public and Private KMA Facebook pages.

o   Maintain integrity of KMA logo used in advertising, general communication, brochures, advertisements and signage.

o   Be available of group activities and volunteering in projects.

 

    Fundraising Events

o   All Fundraising events must be approved by the KMA Board and will be published to the general membership after approval to ask for participation and volunteers.

o   Fund Raising Director will work with KMA Treasurer in completing proposals for larger events (other than meat raffles).  This will include a Proforma Income Statement, including expected revenues, expenses and expected profits.

o   All KMA Branded Logos will be used in advertising.

 

    Distribution of Funds

o   In order to distribute funds, certain criteria are to be met. 

o   Information on the “donation recipients in need” form must be filled out in detail on our KMA standard form on the website or an email sent to: Mary@Kmangels.org asking for a donation. The form is to be given or sent to the president for consideration by the board. The President will bring the donation request forward to the board and then the general meeting for approval.

o   Members will then discuss the need at the next general meeting.

o   If time is of the essence, officers will make a final decision as to the funds needed.

    Guidelines for donations are as follows:

o   Scholarships – $500 – up to - $2500 remains in KMA savings account thus far for future scholarships.  The amount can be increased based on funds and board approval.

·        New Scholarship New recipient for scholarship 2024:

·        Moraine Park Technical College-West Bend -$1000/Yr

·        $1000 has been donated for a starter to add this savings account for future scholarships to the Moraine Park Technical College.

o   General (Medical Equipment, Funeral) $250.00

o   Medical (Illness, Injury) $500.00

o   Recipient(s) KMA will donate to a recipient 1 time per year (within a twelve-month period) If more than this initial donation is seen to be needed, the Board and Membership must approve.

    Sunshine

o   Give/Send cards to members, (Birthday, Sympathy, etc.)

Kettle Moraine Angels are a local non-profit group who help local people in need or crisis.
